This Letter contains the response to  E-mail from Rita Moreno 4-12-2002 8:27PM. The numbers refer to the paragraph numbers

1. Name

We will present a bylaw amendment to make the name changes: see below

Article I Name

ARTICLE I 1. The name of this non-profit, unincorporated association shall be: "Northridge Community Council" ("The Council")

Article II Mission

ARTICLE II 1. The Mission of the Northridge Community Council ("The Council") is to facilitate communication between the City of Los Angeles and Community Stakeholders on issues of concern to the community and/or to the Community Stakeholders

3. Boundaries

We will present a bylaw amendment to submit boundary changes to DONE, see below:

Article III: Boundaries

2. The Council may adjust these boundaries at any time, ied to be in the best interests of the Council.

3. These boundary changes will be submitted to DONE under their Plan Article V Boundary and Bylaw Adjustment for their action.


4. Non Profit

We disagree with your prohibition of Non-profit status as the plan requires you assist us in becoming a Non Profit Corporation.

Plan Article II Desired Characteristics of Neighborhood Councils

4. Independent Entities

Certified Neighborhood Councils shall be as independent, self-governing, and self-directed as possible. The Department of Neighborhood Empowerment (DONE) shall assist Certified Neighborhood Councils to pursue options, including, but not limited to, tax-exempt status and/ or non-profit incorporation, to strengthen their independence. Tax-exempt status and/ or non-profit incorporation will have no effect on Certified Neighborhood Council's eligibility for assistance, monetary or otherwise, from DONE

6.0 Membership

We will present a bylaw amendment to conform the language to your request, as we feel both say he same thing. We are adding a definition of "works".

Article X: Membership

1 Those eligible for Membership in the Council is open to allont  are the Community Stakeholders within the boundaries of the Council. A Community Stakeholder is defined as anyone who lives, works or owns property in the area

"Works" is defined as spending the majority of a persons working time in the community, either as an employee or non-employee for payment, or as a volunteer.


7.0 We are in agreement that this is closed and our bylaws are acceptable.


8.0 Stakeholder Voting

Our first proposal is that we remove the stakeholder voting statement from the director’s section of our bylaws, and add that stakeholders will determine the advice to give to LA City. We believe that both the Charter and the ordinance require stakeholder participation and that DONE’s plan cannot override the Charter and the Ordinance.

Article XI: Directors

4a Directors shall not vote on matters that concern individual Stakeholders or groups in the community. Such matters shall be voted on by Stakeholders at Town Hall Meetings.

Article X: Membership

5. Stakeholders shall make the decisions, to the extent feasible, on advice given on matters that concern the neighborhood. Such decisions shall be based on a vote by Stakeholders at a Council Meeting. The council will conform to the LA City Charter Section 906.6, which states in part "guarantees that all meetings will be open and public, and permit, to the extent feasible, every stakeholder to participate in the conduct of business, deliberation and decision- making".

Our second proposal is to remove all stakeholder voting and decision making as DONE first demanded which we believe violates the Charter and Ordinance.

5. Stakeholders shall not vote on any issues before the neighborhood Council..

11 Quorums

We have set the Quorum in our bylaws as a percentage of directors in office, which fixes the Quorum.

Article XVI: Quorums and Voting

1b. A quorum for Board Meetings shall be thirty-three percent (33%) of the Directors currently in office.

We have suggested these changes on the notification issue.

Article XII: Officers

h. The Secretary is responsible for developing and maintaining a system through which the Council can communicate with it’s Community Stakeholders on a regular basis and in a manner that assures that information is disseminated evenly and in a timely manner to such Community Stakeholders.

i. The Secretary shall cause as many documents and as much information records as possible including the By-Laws, to be posted on the Council website and E-mailed to our list of stakeholders. Without city funding the Internet will be our primary communications method. To the extent that LA City funds are made available to the council, for this purpose, the council will add other methods to communicate this information to the stakeholders


15 Ethics

Addition of LA ethics on voting on use of LA Funds

Article XII: Officers

1c. Officers will vote on all decisions of the Board. If voting is on the use of funds provided by LA City, the officers shall be subject to all ethics and conflict of interest laws and regulations applicable to governing boards and commissions in the City of Los Angeles.


16 Officer Elections

Our bylaws contain both a list and a method of selecting Officers and Directors. Assistance is not control or vetting of our elections. We will follow our bylaws, which will determine the directors and officers of our council. The only reference to election of a board in the Charter, Ordinance, or plan is:

2. Components of a Certification Application.

Bylaws

(2) The bylaws shall include a list of offices of the Governing Body and a method for regularly electing or selecting officers who shall serve as the Governing Body. For the purposes of this Plan, the term Governing Body refers to Community Stakeholders of a Certified Neighborhood Council who are empowered to make decisions on behalf of that Certified Neighborhood Council.

At a minimum, the Department of Neighborhood Empowerment shall:

19.0 Records

We will present a bylaw amendment to add the preamble of the act. We feel it is totally inappropriate to restate the act and have a link on our website to the act from the text of our bylaws making it easer for the public to read.

3. The Council voluntarily makes itself subject to the California Public Records Act (California Government Code §6251) to provide full public access to its records.This act in its Preamble: and Legislative Declaration* states "In enacting this chapter, the Legislature, mindful of the right of individuals to privacy, finds and declares that access to information concerning the conduct of the people's business is a fundamental and necessary right of every person in this state".


20 Bylaw Changes

We will present a bylaw amendment to submit bylaw changes to DONE; see below:

Article XIX: Amendments

1. These By-Laws may be amended as follows:

a. All suggested Amendments to these By-Laws must be submitted to the Secretary in writing including facsimile transmission or email.

b. The Secretary will place the suggested Amendment on the Agenda for the following Town Hall meeting, where discussion will be held concerning the suggested Amendment. The Amendment will be placed on the Agenda for the following Town Hall meeting.

c. These bylaw changes will be submitted to DONE under their Plan Article V Bylaw Adjustment for their action.


21.0 We are in agreement that this is closed and our bylaws are acceptable.

2. ARTICLE VIII: AFFILIATIONS

1. The Council may affiliate itself, or enter into an affiliation with any other organization or group, other than a partisan political organization or group. However, such affiliation must be in accordance with the By-Laws and the laws of the State of California, and must be approved by a majority vote of all Directors of record.
